PROGRAM DETAILS

PROGRAM TERMS AND CONDITIONS

Participants (“Members”) of the NAPA Canada Rewards Program (“Program”) created by UAP Inc. (“NAPA Canada”) are subject to these Program Terms and Conditions. Program membership is open to eligible retail customers of participating NAPA Auto Parts Stores (“Participating Stores”) who reside in Canada and have reached the age of majority in their province of residence. By enrolling in the Program, the Member consents to be bound by these Program Terms and Conditions.

MEMBERSHIP AND ELIGIBILITY REQUIREMENTS

  • Eligible NAPA AUTO PARTS retail customers may enroll in the Program at Participating Stores and online at NAPACanada.com (the “Website”) . Commercial, wholesale, and other NAPA Canada accounts receiving a standing discount are not eligible to participate in the Program. Additionally, employees of NAPA Canada or its affiliates, Genuine Parts Company, independently owned NAPA Canada stores, VPromos Inc., and their respective dependents are not eligible to participate in the Program. The definition of a dependent of a NAPA Canada or its affiliates, Genuine Parts Company, or NAPA Auto Parts store employee includes, but is not limited to, any person who may use that employee’s NAPA Canada company discount.
  • There is no fee to participate in the Program. NAPA Canada asks the Member to provide basic contact information, including their name, address, mobile phone number, and email address to ensure the security of the Program and also to communicate Program updates and information to the Member. By enrolling in the Program, the Member consents to the collection, storage and use of their personal information by NAPA Canada and its service providers, including the administrator of the Program VPromos Inc., for these purposes. Some of NAPA Canada’s service providers may be located outside your jurisdiction and your personal information may be transferred and become subject to the laws of such jurisdictions.
  • A Member may cancel their participation in the Program at any time. A Member may delete their NAPA Canada Program account at any time by signing in to their Member account through the Website and following the process described on the relevant page.
  • Any abuse of the Program, failure to follow any terms of the Program, or any misrepresentation may subject Members to having their participation in the Program revoked and affect their eligibility for further participation in the Program. NAPA Canada may revoke Membership in the Program at any time. NAPA Canada reserves the right to seek all remedies, whether available at law or at equity, criminal or civil, in the event that a Member defrauds or abuses the Program, fails to follow any terms of the Program, or makes any misrepresentation to NAPA Canada or a Participating Store.
  • A Member who first registers for the Program online through the Website will receive a reward (the “Welcome Reward”). The Welcome Reward is also available to Members who register for the Program through a Participating Store after they complete their online Rewards profile. The Welcome Reward may be redeemed the next time the member makes a purchase at a Participating Store. In order to redeem the Welcome Reward at a Participating Store, the Member must provide their verified mobile phone number prior to proceeding with this purchase. Redeeming the Welcome Reward will result in a reduction of $5.00 (before taxes) on the price of the Member’s purchase, provided the purchase is for an amount of $10.00 or more (excluding charges and taxes). The Welcome Reward will expire one hundred and twenty (120) days after the Member first registers for the Program.

EARNING AND REDEEMING REWARDS

  • Once a Member has enrolled in the Program, they will be able to earn rewards (“Earned Reward”) by making eligible purchases at Participating Stores. Such Earned Rewards may be redemeed by making subsequent eligible purchases at Participating Stores.
  • Not all NAPA Canada stores are Participating Stores. For a list of Participating Stores, please see the Locations page on the Website.
  • In order to receive an Earned Reward, a mobile phone number must be provided at the time of purchase. The Member must identify him/her/themself as a NAPA Canada Rewards Program Member to the Participating Store’s counterperson at the time of purchase or during the checkout process online, after they have signed-in.
  • A minimum purchase of $100.00 (excluding charges and taxes) is required to receive an Earned Reward. Upon completing a purchase transaction for one or more eligible products at a Participating Store equaling or exceeding this minimum amount, one Earned Reward will be credited to the Member’s Program account.
  • The Member may redeem the Earned Reward at Participating Stores or online by providing their verified mobile phone number. The Earned Reward may be redeemed at the time of the Member’s subsequent purchase at a Participating Store for an amount of $5.00 or more (excluding charges and taxes) and will grant a reduction of $5.00 to the Member on the price of such a purchase. Minimum purchase amounts are per transaction, and transaction amounts are not cumulative. The Welcome Reward is applied automatically to the next eligible purchase and may not be deferred to subsequent purchases, except at the discretion of NAPA Canada.
  • If, as a result of a return and refund in relation to a transaction for which an Earned Reward was received, the total amount of the purchase following (and taking into account) this refund falls below the minimum purchase amount of $100.00 necessary to obtain an Earned Reward, the Earned Reward obtained for that transaction will be cancelled. If the Earned Reward has already been redeemed by the Member, the Member’s account will show a negative balance of one Earned Reward, and once a new Earned Reward is obtained through a subsequent transaction meeting the minimum purchase amount requirement, the Member’s account will be set to a balance of zero for Earned Rewards.
  • The Earned Reward will expire one hundred and twenty (120) days following the date of the transaction when it was granted. The Reward cannot be used to cover applicable taxes. Prior purchases or purchases at stores not participating in the Program are not eligible for Rewards.

ADDITIONAL INFORMATION

  • The Welcome Reward and Earned Reward (“Rewards”) will be immediately available for use in a future transaction and will be automatically applied to the Member’s next transaction. A Reward used during a transaction will be deducted from the Member’s Program account. Discounts are in the form of an after-sale rebate, with a maximum value of $5.00.
  • Rewards on a Member’s Program account will expire one hundred and twenty (120) days from the time they are obtained or earned, at the conclusion of the Program, or at the sole discretion of NAPA Canada, whichever occurs first.
  • The member can view their Rewards balance online, through the Website. The Member is required to complete a NAPACanada.com online account in order to view their Rewards balance. This is required in order to ensure security of their account.
  • The appropriate number of Points will be automatically deducted from the Member's account balance for every NAPA Reward added to Member’s account.
  • Rewards may not be combined or transferred to any other type of promotional offering or reward, except at NAPA Canada’s discretion.
  • Rewards have no cash value, are non-negotiable, and cannot be redeemed either in whole or in part for cash. Rewards do not constitute property and may only be used by the Member. They may not be sold, shared, brokered, bartered, gifted, or otherwise transferred for consideration, other than as authorized in writing by NAPA Canada or as expressly provided for in these Program Terms and Conditions, and any receipt or use of Rewards in violation of the terms and conditions herein will render such Rewards void.
  • Taxes on Rewards or other Program benefits may apply where required by law. Any tax liability, including disclosure, is the sole responsibility of the Member.
  • NAPA Canada is the exclusive sponsor of this Program and reserves the right to limit the number of participants in the Program.
  • NAPA Canada reserves the right to cancel, modify or restrict any aspect of the Program at any time by amending these Program Terms and Conditions. NAPA Canada, at its sole discretion and without prior notice to the Member, reserves the right to change the minimum in-store transaction value needed to earn an Earned Reward or the redemption value of any Reward on future purchase at any time and for any Participating Store or for the entire Program. To the extent required by applicable law, NAPA Canada shall provide prior notice of any changes to the Program Terms and Conditions to the Member. Following any such changes, an updated version of the Program Terms and Conditions shall be posted on the Website. Please visit the Website regularly to review the Program Terms and Conditions. Any use of the Program following the coming into force of any changes will be deemed as an acceptance of such changes.
  • NAPA Canada reserves the right, at its sole discretion and without notice, to terminate a Member’s enrollment in the Program after twelve (12) months of account inactivity.
  • Rewards, as reflected in NAPA Canada’s records, shall be deemed correct and NAPA Canada reserves the right to determine the qualification for any transaction and to correct or modify the Reward record at any time based on NAPA Canada records.
  • By becoming a Member of the Program, the Member consents to receive advertising, marketing materials, and other communications from NAPA Canada; the Member may unsubscribe by following the link provided in the relevant electronic communications.
  • NAPA Canada is not responsible for communications, including Rewards, lost due to a change of address or other contact information.
  • All references to currency are in Canadian dollars.
  • NAPA Canada’s failure to exercise any of its rights under these Program Terms and Conditions or its delay in enforcing or exercising any of those rights shall not constitute a waiver of such rights.
  • The Program has no predetermined termination date and may continue until such time as NAPA Canada, at its sole discretion, elects to designate a program termination date. Void where prohibited. Rewards may not be combined with any other coupons, discounts, offers, or promotions. Rewards are not redeemable in separate transactions, for cash or gift cards, or towards previous purchases. Program Terms and Conditions are void only to the extent prohibited by law.

LIMITATION OF LIABILITY AND EXCLUSION OF WARRANTIES

(For consumers residing in the Province of Quebec: The consumer protection legislation of the Province of Quebec does not allow the exclusion of a merchant’s liability for its own acts or those of its representatives or the exclusion of legal warranties; therefore, the following provision may not apply to you) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BY ENROLLING IN THE PROGRAM AND REDEEMING ANY REWARD, THE MEMBER AGREES THAT NAPA CANADA, GENUINE PARTS COMPANY, ALL NAPA AUTO PARTS STORES, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) WILL HAVE NO LIABILITY OR RESPONSIBILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY MEMBERS OR ANY PERSON FOR, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE OR EXEMPLARY DAMAGES) DAMAGES ARISING IN WHOLE OR IN PART FROM ANY ACTION TAKEN OR NEGLECTED TO BE TAKEN WITH REGARD TO THE PROGRAM, WITH THE EXCEPTION OF ERRORS IN POSTING REWARDS TO ACCOUNTS. THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR (A) LOSS OR MISDIRECTION OF, OR DELAY IN RECEIVING, ANY MEMBERSHIP APPLICATION, CORRESPONDENCE OR REWARDS; (B) THEFT OR UNAUTHORIZED REDEMPTION OF REWARDS OR USE OF A REWARD CAUSED BY CIRCUMSTANCES BEYOND THEIR REASONABLE CONTROL; (C) ANY ACTS OR OMISSIONS OF THIRD PARTIES; OR (D) ANY ERRORS PUBLISHED IN RELATION TO THE PROGRAM, INCLUDING, WITHOUT LIMITATION, ANY TYPOGRAPHICAL ERRORS, ERRORS OF DESCRIPTION, AND ERRORS IN THE CREDITING OR DEBITING OF REWARDS FROM MEMBER ACCOUNTS. NAPA CANADA RESERVES THE RIGHT TO CORRECT ANY ERRORS WITHOUT NOTICE. IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE TO MEMBERS OR ANY THIRD PARTIES FOR ANY DELAY IN OR FAILURE TO PERFORM DUE TO CAUSES BEYOND THE RELEASED PARTIES’ CONTROL, INCLUDING, WITHOUT LIMITATION, ANY ACT OF GOD, ACT OF WAR, NATURAL DISASTER, TERRORISM, OR ANY ACT OR OMISSION OF A THIRD PARTY. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOLE REMEDY AVAILABLE TO MEMBERS IN CONNECTION WITH THE PROGRAM (WHETHER YOUR CLAIM IS BASED IN LAW OR EQUITY) SHALL BE THE CREDITING OR RE-CREDITING TO THE PROGRAM OF REWARDS AT ISSUE. WITHOUT LIMITING THE FOREGOING, EXCEPT AS SPECIFICALLY PROVIDED OTHERWISE IN THESE PROGRAM TERMS AND CONDITIONS, EVERYTHING REGARDING THE PROGRAM, INCLUDING THE WEBSITE, IS PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS, LEGAL OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE OR NON-INFRINGEMENT. THIS SECTION WILL SURVIVE THE TERMINATION OF A MEMBER’S PARTICIPATION IN THE PROGRAM.
